Terms of Service

1. Acceptance of Terms

• By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy.
• If you are using the Services on behalf of a nursing home or other organisation, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Description of Services

Hyrozen provides a cloud-based software platform designed for Irish care facilities, which includes tools for digital care planning, medication management (eMAR), staff rostering, HIQA-aligned reporting, family communication, and other related features to support nursing home operations ('Services').

3. Account Registration and Security

• To access the Services, you must register for an account and provide accurate, complete information.
• You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account.
• You must notify us immediately of any unauthorised use of your account or any other breach of security.

4. Licence and Permitted Use

• We grant you a limited, non-exclusive, non-transferable, and revocable licence to access and use the Services for your internal nursing home operations, in accordance with your subscription plan.
• You agree not to copy, modify, reverse engineer, decompile, or create derivative works of the Services or otherwise attempt to discover any source code.

5. Customer Data and Responsibilities

• You retain all ownership rights to the data, information, and content you input into the Services ('Customer Data'), including sensitive resident health information.
• You are solely responsible for the accuracy, legality, and compliance of all Customer Data.
• You grant us a worldwide, royalty-free licence to use, process, and display Customer Data solely to the extent necessary to provide and improve the Services.
• You must comply with all applicable laws and regulations, including the General Data Protection Regulation (GDPR) and HIQA standards, in relation to your collection and use of Customer Data.

6. Data Processing

Where we process personal data on your behalf, we act as a 'data processor' and you are the 'data controller'. This processing is governed by our Data Processing Agreement (available upon request), which is incorporated by reference into these Terms. All data is stored and processed securely within the European Union.

7. Fees and Payment

Access to the Services is provided on a subscription basis. Fees, billing cycles, and payment terms will be specified in your order form or service agreement. All fees are non-refundable except as required by law.

8. Availability and Support

We will use commercially reasonable efforts to make the Services available 24/7, but we do not guarantee uninterrupted access. Scheduled maintenance will be notified in advance. Support is provided during normal Irish business hours as specified in your service agreement.

9. Intellectual Property

Hyrozen and its licensors own all right, title, and interest in and to the Services and our underlying software, graphics, and other intellectual property. You retain all ownership of your Customer Data.

10. Termination

Either party may terminate the service agreement with appropriate notice as outlined in the agreement. Upon termination, your access to the Services will be disabled. We will provide an opportunity to export your Customer Data for a limited period following termination.

11. Limitation of Liability

• The Services are provided 'as is'. To the maximum extent permitted by law, we disclaim all warranties, whether express or implied.
• In no event shall Hyrozen be liable for any indirect, incidental, special, or consequential damages. Our total aggregate liability in any matter arising out of or related to these Terms is limited to the fees you paid to us in the 12 months preceding the event giving rise to the claim.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ireland. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ireland.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
